Presigna Terms of Service
Published version 1 · Prepared 2026-10-12 · Effective 2026-10-14
These Terms set out how Presigna Inc. (“Presigna”, “we”) provides the service at presigna.com. Refunds and cancellation are governed by the Refund and Cancellation Policy and personal data by the Privacy Policy. If these documents differ, the terms in an individual order form or on the pricing page apply first, then the Refund and Cancellation Policy, then these Terms. If the Korean and English versions of these Terms differ, the Korean version governs.
1. Definitions
- Service: the company cards, company pages, question route, Pre-sign Record and related features we provide at presigna.com and through related screens and email.
- Company card: information about a biotech and its assets (drug candidates, platform technologies, etc.), organized by question, that we compile from public sources with AI.
- Biotech: a biotech or other technology company that reviews and corrects its own company card.
- Buyer: a pharmaceutical or other company that holds a field subscription to view cards and send questions.
- Company link: the private address we send to a biotech for its own card. The biotech uses it to review the card and to submit for the first time.
- Basic participation: the features biotechs use free of charge: card review and correction, disclosure scope, consent to listing, receiving and answering questions, and the Pre-sign Record.
- Membership: the paid product for biotechs: answer drafts for questions the biotech receives and a first-year readiness check.
- Field subscription: the paid product for buyers: viewing consented cards in a defined field and the answers biotechs allow, and sending questions. It includes products with other terms set out in an order form, such as a 90-day paid evaluation.
- Free account: an account a biotech may create after its first submission. It signs in with an email address and a password.
- Disclosure scope: the range of answer a biotech chooses for each question: “answer now”, “answer on request”, “after CDA is recorded” or “not answered”.
- Authorized user: an officer or employee of a buyer whom the buyer designates, within the number in the order form, to use the field subscription and names to us.
- AI tool connection: the means of access we give a buyer (a connection key, a sign-in, etc.) so that its own AI tools can read cards and answers and send questions and access requests.
2. Posting and changes
- We post these Terms on the Service.
- We may change these Terms within the law. We post the change and its effective date at least 7 days in advance, or at least 30 days in advance with notice to account email and to the contact email of paying companies for changes unfavorable to users.
- If you do not agree to a change, you may stop using the Service and terminate before the effective date. Refunds for paid products follow the Refund and Cancellation Policy.
3. What the Service provides
- To biotechs:
- review and correction of the company card, disclosure scope and consent to listing (free);
- a screen confirming what was submitted and, with a free account, submission history, review status, consent to listing and membership status (free);
- membership (paid): AI-drafted answers for pre-CDA questions the biotech receives (within 2 business days; up to 10 questions a month as a trial allowance) and one first-year readiness check. Answer drafts are used only after the biotech edits and approves them. Questions received outside the Service (by email, at events, etc.) are sent to us in the body of an email without attachments, and we delete their text within 30 days of receipt.
- To buyers: the field subscription (paid). The scope (field, number of question bundles, number of authorized users, AI tool connection, exports, etc.) and term are set out in the order form.
- Some features, such as receiving questions, answering directly and buyers viewing cards, open in stages from early 2027. We announce each opening on the Service and by email.
- We do not provide biotechs with correction summary files for posting on a website. Biotechs review what they submitted on screen.
4. Company cards and AI notice
- Card drafts are written by AI from public sources (company websites, news, papers, patents, clinical trial registries, government records, etc.). We show this on the Service.
- Each value carries its sources, and we show the date a source states separately from the date we collected it.
- Cards may contain information that differs from the sources or is out of date. Values a biotech reviews or corrects are checked by us and reflected at the next card update.
- Cards and answers are not advice for transactions, investment, medical or legal decisions. Buyers use them at their own judgment and responsibility.
- A biotech’s statements are the values it has reviewed or corrected and the answers it has approved. Card values without the biotech’s review mark, summaries, comparisons and suggested questions we prepare, and the output of a buyer’s AI tools are not statements of the biotech.
5. Company links and free accounts
- A biotech may review its card and submit for the first time through its company link without an account.
- To edit and submit again after the first submission, the biotech must sign in with its free account. A free account is created with an email address and a password and is tied to the company of the company link used to create it.
- A biotech shares its company link and account details only with staff responsible for the matter. If you learn that a link or account has reached someone without authority, tell us at once; we will close the link and send a new one.
- A free account can be deleted at any time on the “My card” page (내 카드 관리). Deleting the account does not delete company information already submitted; that information is handled under the Privacy Policy and Section 7.
- A biotech bears the damage caused when, through its intent or negligence, its company link or account reaches someone without authority. Presigna is responsible for damage caused by its failure to close a link after being told of the leak.
6. Submissions and disclosure scope
- A biotech may review only some items and submit. Items not reviewed stay as they are.
- We check submitted corrections, answers and disclosure scopes before reflecting them in the card. We may ask the biotech to confirm facts first, and we may decline to reflect content that lacks support or breaks the law or these Terms.
- Status is shown in steps such as “received” and “checked — reflected at the next card update”. Our check alone does not change the card immediately.
- Biotechs do not submit confidential (CDA-covered) material or personal contact details. If free text contains an email address or phone number, we do not reflect it and ask again.
- Disclosure scope is chosen per question; if none is chosen, it stays “answer on request”. Answers given as “answer now” are shown to buyers if the biotech consents to listing.
7. Consent to listing and who sees what
- A company card is shown to buyers only if the biotech consents to listing. Without consent it is not listed. A choice made earlier stays in effect until changed.
- Listed cards are seen only by paying buyers we have checked (the authorized users they designate, such as BD staff, and the AI tools they use). Other biotechs cannot see them, and cards are not published on the open web.
- Reading a card or allowed answers does not reveal the buyer to the biotech. When a buyer sends a question directly, or requests a meeting or access, we tell the biotech the buyer’s organization name. Individual names and simple viewing history are not shared.
- A biotech may withdraw consent to listing at any time. We remove the card from buyers’ screens within 7 days of receiving the withdrawal. What buyers saw before the withdrawal cannot be recalled.
- Buyers see asset information only within the disclosure scope the biotech chose; questions where the biotech made no choice are shown as “not answered by the company”.
8. Permission to use submitted content
- A biotech permits us, free of charge and non-exclusively, to use its submitted corrections, answers, notes and asset information to build and update cards, to show them to buyers within its consent and disclosure scope and let buyers use them under Section 10, and to route questions. This permission lasts while we maintain the card. When it ends, documents a buyer kept before then under Section 10(4) are not affected.
- When we use submitted content to improve the Service, we use it only as statistics that do not identify the biotech.
- A biotech may ask us to remove its submitted content from the card. We then remove it and stop showing it to buyers, but keep the record of what was submitted and when, in case of disputes.
- The biotech warrants that it has the right to grant this permission and that the content does not infringe third-party rights.
- Rights in submitted content remain with the biotech. Rights in the structure of company cards and in what we compiled from public sources belong to Presigna.
9. Payment for membership and field subscriptions
- Membership prices are shown on the membership and pricing pages. They exclude Korean VAT and are trial prices. The amount charged includes VAT.
- The price, currency, term and scope of a field subscription are set out in the order form. Prices exclude taxes; Korean VAT treatment (including zero-rating) is stated on the invoice as the law requires. For buyers in Japan, the invoice states that Japanese consumption tax is accounted for by the buyer under the reverse charge. If the law of the buyer’s country requires withholding tax, the buyer sends us the withholding tax certificate.
- We accept card payment (KG Inicis) and bank transfer with a tax invoice in Korea, and PayPal and invoiced bank transfer from abroad. We do not receive card numbers.
- Requesting membership records a plan and intent only; nothing is charged before payment. Membership and subscriptions start on payment (card approval or receipt of funds).
- There is no automatic renewal. We send a renewal notice 7 days before the term ends; without payment, paid use ends with the term and a biotech remains in basic participation. A renewal paid before the term ends starts the day after the current term ends.
- Each party bears its own international transfer fees.
10. Conditions for buyers
- Buyers use cards and answers received through the Service only for their own technology evaluation and partnership review.
- Buyers do not redistribute, sell or publish cards or answers to third parties, or use them to build another database or service.
- During the subscription term, a buyer may have its own AI tools read, summarize and compare cards and answers received through the Service (on screen, by email or through the AI tool connection), and may send questions and access requests through the AI tool connection. In doing so, the buyer:
- uses business AI tools set not to use inputs for model training;
- does not use cards or answers to train or fine-tune AI models;
- does not move all or a substantial part of the cards and answers into a database, search index or AI knowledge base. AI tools retrieving material while they work, and keeping the internal review documents in paragraph 4 and exported material we provide in the buyer’s internal document storage, are not covered by this.
- When the subscription ends, access through accounts and the AI tool connection ends. Documents the buyer made for internal review before then, such as comparison tables and review memos (including quotes from cards and answers), may be kept for the purpose in paragraph 1. If we add a mark such as the buyer’s name to exported material, the buyer does not remove it.
- When a buyer receives accounts or the AI tool connection, it designates authorized users within the number in the order form and tells us who they are. Accounts and keys are used only by authorized users and are not handed over to or shared with other people or organizations. When a buyer changes an authorized user, we end the previous user’s access.
- Usage limits, such as concurrent sessions, number of calls and permitted IP addresses, are set out in the order form or on the Service. If the Service and the order form differ, the order form prevails, and we do not reduce limits during the subscription term except to respond to security incidents or outages. We may decline or delay requests beyond those limits.
- We do not record which cards and answers a buyer reads anywhere, including in service operation logs (except aggregate figures from a feature the buyer chooses to turn on). Usage is counted only as the number of calls per account or key, and is used to manage usage limits and to check for sharing and overload. The time an account or key is first used is used to determine first access under the Refund and Cancellation Policy. Records of questions, meeting and access requests, answers and CDAs follow Section 7(3) and paragraphs 8 and 9 of this Section.
- Any confidentiality agreement (CDA) between a buyer and a biotech, and any later transaction, is between those two companies. Presigna is not a party to the CDA and receives neither its text nor confidential materials. We keep only a fingerprint of the signed copy (a value that shows later that a document is the same one, without keeping the document), the signature confirmation and the time.
- Buyers can see the dates of question, access request, answer and CDA records to which their own organization is a party. Other buyers’ activity and a biotech’s overall request and decline history are not shown.
11. Prohibited conduct
Users must not:
- impersonate another company or use another company’s link or account without authority;
- collect or copy data from the Service in bulk by any means, including automated tools. A buyer’s use of AI tools under Section 10 is permitted within the limits of that Section;
- bypass the Service’s security or disrupt its normal operation;
- submit untrue information, information that infringes others’ rights, or personal contact details or sensitive information;
- use materials obtained from the Service beyond what these Terms or an order form allow.
12. Changes and interruptions
- We may change parts of the Service for operational or technical reasons. We give advance notice of material changes to paid products.
- We may suspend the Service temporarily for maintenance, outages or force majeure, with advance notice where possible.
- Missed delivery commitments and the end of the Service are handled under the Refund and Cancellation Policy.
13. Termination
- A biotech may delete its free account or cancel membership; cancellation and refunds follow the Refund and Cancellation Policy.
- Cancellation and refunds of a buyer’s field subscription follow the Refund and Cancellation Policy.
- If a user breaches Section 10 or 11, we require a cure; if it is not cured within 14 days of the request, we may restrict use or terminate the agreement. For serious breaches, such as handing over or sharing accounts or keys contrary to Section 10(5), bulk collection, or redistributing cards and answers or using them for AI model training, we may restrict use first, and we then notify the user at once.
- If the agreement ends under paragraph 3, refunds follow the general rules of the Refund and Cancellation Policy.
14. Limitation of liability
- We compensate damage caused to users by our intent or negligence as the law requires.
- Unless we acted with intent or gross negligence, we are not liable for errors in public sources themselves, errors in content biotechs submit, or the results of dealings, negotiations or contracts between buyers and biotechs.
- Our liability for a paid product is limited to the amount the user paid for that product in the 12 months before the damage arose. This limit does not apply to damage caused by our intent or gross negligence.
15. Personal data
We process personal data under the Privacy Policy. Biotechs do not enter personal data in free-text fields.
16. Notices
We notify users by account email, by the email that sent the company link, and on the Service. Users notify us at contact@presigna.com.
17. Governing law and venue
- These Terms are governed by the laws of the Republic of Korea.
- The Seoul Central District Court has jurisdiction at first instance over disputes about these Terms and the Service. An order form with an overseas buyer may provide otherwise.
